Feintool International Holding AG (“Feintool”) announced today that until the expiration of the subscription period on May 11, 2022, at 12:00 PM CEST, 97.9% of the subscription rights were validly exercised, resulting in the subscription of 9,623,296 new registered shares with a nominal value of CHF 10 each (all shares issued within the capital increase, referred to as “offered shares”) in the rights offering.
The remaining 206,388 offered shares for which the subscription rights were not validly exercised will be offered in the market, with the placement price not being lower than the subscription price of CHF 20.50 per offered share.
Artemis Beteiligungen I AG, the main shareholder of the company, has validly exercised all the subscription rights allocated to it and will additionally subscribe to all offered shares at the subscription price of CHF 20.50 per offered share that were neither subscribed in the rights offering nor sold in the market by the joint bookrunners.
Delivery of the offered shares against payment of the subscription price or the placement price, as well as the first trading day of the offered shares, are scheduled for May 16, 2022. The new registered shares will be fully entitled to voting rights and dividends as of the 2022 fiscal year and will be equal in all respects to the existing registered shares.
With the completion of the capital increase, Feintool will receive gross proceeds of approximately CHF 202 million, which will be used, after deduction of transaction costs, for the repayment of bridge financing for the acquisition of Kienle + Spiess, financing of growth investments, and general corporate purposes.
